1. Acceptance of Terms & Agreement
By downloading, installing, accessing, or using the Health Online mobile application (iOS/Android) or website (healthonline.app), you acknowledge and agree to be bound by these Terms of Use (“Agreement”). If you do not agree to these terms, you may not use the platform. Health Online is operated and provided from Curaçao and is governed exclusively by Curaçaoan law.
Health Online is operated by Healthcare Innovative Solutions B.V. (HISBV), a company registered in and operating under the laws of Curaçao. Our headquarters, legal domicile, and place of business are in Curaçao.
1.1 User Eligibility
By accepting these terms, you represent and warrant that:
- You are at least 18 years old or the age of majority in your jurisdiction, or have legal guardianship consent
- You have the legal capacity to enter into binding contracts
- You have read, understood, and accept this Terms of Use agreement, our Privacy Policy, and our Patient Consent & Terms of Care
- You will use this platform only for lawful purposes and in compliance with applicable laws
2. Platform Overview & Services
2.1 What We Are
Health Online is a technology platform that facilitates connections between patients and independent, licensed healthcare providers. We are NOT a healthcare provider ourselves.
2.2 Core Services
- Telemedicine Consultations: Video and text consultations with licensed physicians via our platform
- Fast Track (Symptom Triage): A symptom quiz that helps assess urgency (available to HO Club members at no additional cost)
- Urgent Care Queue (Silver only): Silver members can join an urgent care queue served by the next available physician
- Prescription Management: Physicians can issue prescriptions via the platform to pharmacy partners
- Medical Document Storage: Secure storage of medical records, consultation histories, and documents (paid accounts only)
- Marketplace: Access to wellness services, products, and partner listings
2.3 What We Are NOT
- NOT an emergency service: This is not for emergencies, acute trauma, or life-threatening situations
- NOT a healthcare provider: We do not diagnose, treat, or prescribe. Independent physicians do.
- NOT a substitute for in-person care: Telemedicine has limitations. Physicians may determine that in-person evaluation is necessary.
- NOT liable for medical outcomes: All medical liability rests with the healthcare providers who deliver care.
3. Account Registration & Paid Subscriptions
3.1 Account Creation
To use Health Online, you must create an account with accurate, current, and complete information. You agree to:
- Provide truthful and accurate personal and health information
- Update your information if it changes
- Keep your password confidential and secure
- Accept responsibility for all activity under your account
- Immediately notify us if your account is compromised
3.2 Subscription Tiers & Medical Record Storage
Medical records are only stored for users with paid subscriptions. Free-tier users do NOT have medical record storage.

3.3 Billing & Payment
- Payment Method: Payments are processed via Stripe. You authorize us to charge your payment method for the subscription tier you select.
- Recurring Charges: Subscriptions auto-renew on the billing date unless you cancel. You are responsible for canceling if you no longer wish to be charged.
- Non-Refundable: Subscription fees are non-refundable once charged, except where required by law or in cases of platform failure preventing service delivery.
- Price Changes: We may change subscription prices with 30 days’ notice. Continued use after the notice date constitutes acceptance of new pricing.
- Failed Payment: If payment fails, we will attempt to charge again. If payment ultimately fails, your account access may be suspended.
3.4 Cancellation & Account Termination
- How to Cancel: You can cancel your subscription at any time through your account settings.
- Effective Date: Cancellation takes effect immediately. You will not be charged for future billing periods.
- Data After Cancellation: You have 30 days after cancellation to download or export your complete medical records. After 30 days, all medical data is permanently deleted. See Section 5 (Data & Privacy) for details.
- Account Inactivity: If your account remains inactive for 12 consecutive months, we will send you a notification email. You have 30 days to reactivate. If still inactive after 30 days, the account and all medical records will be permanently deleted.
- Termination by Health Online: We reserve the right to terminate your account if you violate this agreement, engage in abuse, or present a safety risk. Termination will be effective immediately.
4. Medical Limitations & Liability
4.1 Non-Binding Medical Advice
While Health Online connects you with licensed healthcare providers, all medical advice delivered through this platform is non-binding unless explicitly stated otherwise by the physician. You should:
- Always follow the specific medical advice of your own healthcare provider
- Seek in-person evaluation for complex or serious conditions
- Not delay emergency care in favor of telemedicine consultation
- Understand that telemedicine has inherent limitations (no physical examination, reliance on patient description)
4.2 Limitations of Telemedicine
Telemedicine consultations cannot replace in-person medical evaluation in all situations. Physicians may decline to provide services or may recommend in-person care if they determine it is necessary. You acknowledge that:
- Not all conditions can be adequately assessed via telemedicine
- Physical examination may be necessary, which is not possible via video
- Diagnostic testing may be required, which physicians will refer you for
- Physicians may not prescribe certain medications remotely depending on legal restrictions
4.3 Liability Disclaimer
IMPORTANT: Health Online is a technology platform only. We are NOT liable for:
- Medical decisions, diagnoses, or treatment recommendations made by physicians
- Any illness, injury, death, or adverse outcomes resulting from medical treatment received through the platform
- Missed diagnoses or delayed care due to limitations of telemedicine
- Physician negligence or malpractice (this is the physician’s liability)
- Accuracy or completeness of information you provide
- Indirect, incidental, special, consequential, or punitive damages arising from your use of this platform
All medical liability rests exclusively with the independent healthcare providers who deliver care through this platform, not with Health Online or HISBV.
5. Privacy Policy
Your use of Health Online is governed by our separate Privacy Policy, which you must accept as a condition of accessing the platform. The Privacy Policy details how we collect, process, retain, and protect your personal and health data. By accepting both this Terms of Use and our Privacy Policy before accessing the platform, you acknowledge and consent to all data practices outlined in the Privacy Policy.
6. User Conduct & Prohibited Activities
You agree NOT to:
- Provide false, misleading, or incomplete health information
- Use this platform for illegal purposes or to violate laws
- Harass, threaten, defame, or abuse healthcare providers
- Attempt to gain unauthorized access to the platform or other users’ data
- Share your account credentials with others
- Use automated tools or bots to access the platform
- Transmit viruses, malware, or harmful code
- Use this platform for emergencies without immediately contacting emergency services
Violation of these terms may result in account suspension or termination without refund.
7. Platform Availability & Technical Limitations
- No Guarantee of Availability: We do not guarantee that the platform will be available 24/7. We may perform maintenance, updates, or suspend access without notice.
- Not Liable for Outages: We are not liable for any damages arising from platform downtime, delays in accessing medical records, or inability to reach a physician.
- No Guarantee of Physician Availability: We do not guarantee that a physician will be available immediately. Response times depend on current demand and physician schedules.
- Third-Party Dependence: Our platform relies on third-party services (cloud hosting, payment processing, telecommunications). We are not liable for their failures.
8. Intellectual Property
All content, features, and functionality of Health Online (including logos, text, graphics, software) are owned by or licensed to HISBV and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or modify any content without our prior written consent.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HEALTH ONLINE AND HISBV ARE NOT LIABLE FOR:
- Any medical outcomes, adverse effects, or injuries
- Lost data, business interruption, or lost profits
- Indirect, incidental, consequential, or punitive damages
- Unauthorized access to or alteration of your data (except due to our negligence)
- Third-party actions, including physicians’ negligence or malpractice
Our total liability to you, if any, shall not exceed the amount you paid to Health Online in the 12 months preceding the claim.
10. Indemnification
You agree to indemnify, defend, and hold harmless Health Online, HISBV, and their officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:
- Your violation of this Agreement
- Your violation of applicable laws
- Your use of the platform in a manner that causes harm to others
- Your conduct or interactions with physicians or other users
11. Modifications to Terms
We reserve the right to modify, amend, or replace these Terms of Use at any time. Changes will be effective immediately upon posting to the platform. Your continued use of Health Online after changes constitutes acceptance of the new terms. We will notify you of material changes via email or app notification when possible.
12. Governing Law & Dispute Resolution
12.1 Governing Law
These Terms of Use are governed exclusively by the laws of Curaçao, without regard to its conflict of law principles. HISBV is registered in and operates from Curaçao. All aspects of this Agreement, your use of Health Online, and any disputes are subject to Curaçaoan law.
12.2 Dispute Resolution & Jurisdiction
In case of disputes arising from this Agreement:
- Informal Resolution: First, contact us at info@healthonline.app with details of the dispute. We will attempt to resolve within 30 days.
- Escalation: If not resolved, disputes will be subject to Curaçaoan law and will be brought before the competent courts of Curaçao.
- Mandatory Arbitration (Optional): Either party may elect binding arbitration under the rules of the International Chamber of Commerce (ICC) instead of court proceedings. If elected, the arbitration will be conducted in English, and the decision will be binding.
13. Severability
If any provision of this Agreement is deemed invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it valid, or if that’s not possible, it will be severed. The remaining provisions will continue in full force.
14. Entire Agreement
This Agreement, together with our Privacy Policy and any other agreements you accept (e.g., Patient Consent & Terms of Care), constitutes the entire agreement between you and Health Online regarding the use of this platform. It supersedes all prior agreements and understandings.
